1.  Acceptance of Terms

By accessing www.pulsefit.club, the PulseFit web application, the Zync mobile app, or any related services (collectively, the “Services”), you (“you,” “Customer,” or “User”) agree to be bound by these Terms & Conditions (“Terms”). If you do not accept all of the Terms, you must not use our Services.

2.  Definitions

• PulseFit, we, our, us – PulseFit Technologies Pvt. Ltd., registered in Bangalore, India.
• Gym Client – a fitness club or studio that subscribes to PulseFit.
• Member – an individual whose data is managed through a Gym Client’s PulseFit account.
• Subscription Plan – the paid tier(s) of service selected by a Gym Client.
• Integrations – third-party services linked to PulseFit (e.g., Stripe, Zapier, n8n).

3.  Eligibility & Account Registration

1. You must be at least 18 years old and legally capable of entering contracts.
2. You agree to provide accurate, current, and complete information during registration and to keep it updated.
3. You are responsible for safeguarding your login credentials. Any activity under your account is deemed authorized by you.

4.  License & Acceptable Use

1. Limited License. PulseFit grants you a non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms.
2. Prohibited Conduct. You must not:
   • Reverse-engineer, decompile, or attempt to extract source code.
   • Use the Services for unlawful, harmful, or fraudulent activities.
   • Upload malicious code or interfere with security features.
   • Resell, sublicense, or share access outside your organization without written consent.

5.  Subscription Plans, Trials & Payments

1. Plans & Fees. Pricing, billing cycles, and included features are described on our website. All fees are quoted in U.S. dollars unless stated otherwise.
2. Free Trial. New Gym Clients may access a 14-day trial. At trial end, continued access requires upgrading to a paid plan.
3. Payment Processing. Fees are billed in advance via our payment processor (currently Stripe). You authorize PulseFit to charge applicable fees and taxes.
4. Auto-Renewal. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current term.
5. Late Payments. Overdue amounts may incur interest (1.5 % per month or the maximum lawful rate) and/or suspension of access.

6.  Cancellation, Downgrades & Refunds

1. Gym Clients may cancel or downgrade within the admin portal at any time; changes take effect at the next billing cycle.
2. No Refunds. Except where required by law, fees are non-refundable.
3. PulseFit may terminate or suspend access immediately for material breach of these Terms or non-payment.

7.  Intellectual Property

1. PulseFit IP. All software, trademarks, logos, and content supplied by PulseFit are owned by or licensed to PulseFit and protected under applicable laws.
2. Customer Content. You retain all rights to data uploaded to the Services (“Customer Content”). You grant PulseFit a limited license to process Customer Content solely for providing and improving the Services.
3. Feedback. Any ideas or suggestions you send may be used by PulseFit without obligation or compensation.

8.  Data Privacy & Security

Your use of the Services is also governed by our Privacy Policy. PulseFit implements reasonable technical and organizational measures to secure data but cannot guarantee absolute security.

9.  Third-Party Integrations

1. Use of an Integration is subject to the third party’s own terms.
2. PulseFit is not liable for acts or omissions of integrated providers or for any data once it leaves our platform at your direction.

10.  Disclaimers

1. No Medical or Fitness Advice. PulseFit provides software tools only. We do not provide medical, nutritional, or fitness advice.
2. “As Is.” The Services are provided “as is” and “as available.” To the fullest extent permitted by law, PulseFit disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
3. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11.  Limitation of Liability

To the maximum extent permitted by law:

• PulseFit’s total liability for all claims in any 12-month period will not exceed the amount you paid to PulseFit in that period.
• PulseFit shall not be liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenue, data, or goodwill.

12.  Indemnification

You agree to defend, indemnify, and hold harmless PulseFit and its officers, directors, employees, and agents from any third-party claims arising out of: (i) Customer Content; (ii) your breach of these Terms; or (iii) your violation of any law or third-party right.

13.  Modifications to the Terms

We may update these Terms occasionally. Material changes will be notified via email or in-app notice. Continued use of the Services constitutes acceptance of the revised Terms.

14.  Governing Law & Dispute Resolution

1. Governing Law. These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws principles.
2. Informal Resolution. Contact legal@pulsefit.club to resolve disputes informally within 30 days.
3. Arbitration. If unresolved, disputes shall be finally settled by binding arbitration under the Arbitration & Conciliation Act, 1996. The seat of arbitration is Bangalore; proceedings will be in English.
4. Injunctive Relief. Either party may seek interim injunctive relief in any competent court to protect intellectual-property or confidential-information rights.

15.  Miscellaneous

• Entire Agreement. These Terms, the Privacy Policy, and any order forms constitute the entire agreement between you and PulseFit.
• Severability. If any provision is unenforceable, the remainder stays in effect.
• Assignment. You may not assign these Terms without our prior written consent. PulseFit may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.
• Force Majeure. PulseFit is not liable for delays or failures caused by events beyond its reasonable control.
